REFUND POLICY

  • Material Defects: If the delivered service contains material defects that cannot be remediated within a reasonable timeframe, you may request a partial or full refund at our discretion.
  • Cancellation Before Work Begins: If you cancel a project before work has commenced, you are entitled to a full refund minus any non-recoverable third-party costs already incurred.

  • Services that have been fully delivered and accepted in writing.
  • Custom development work that has been completed and deployed.

TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By accessing or using the services provided by VirexiumSystems (1620, Vesterbrogade 40, Copenhagen, Denmark), you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not access or use our services.

2. SERVICES DESCRIPTION

VirexiumSystems provides bespoke e-commerce development, platform architecture, and digital commerce consulting services. The specific scope, deliverables, timeline, and pricing for each project are defined in a separate Statement of Work (SOW) or service agreement.

3. CLIENT OBLIGATIONS

  • Provide accurate and complete information necessary for project execution.
  • Respond to inquiries and requests for feedback within a reasonable timeframe.
  • Ensure timely delivery of any client-provided assets, content, or credentials.
  • Comply with all applicable laws and regulations in the use of deliverables.

4. INTELLECTUAL PROPERTY

Unless otherwise specified in the SOW:

  • All custom code, designs, and deliverables created by VirexiumSystems become the property of the client upon full payment.
  • VirexiumSystems retains the right to use general knowledge, skills, techniques, and non-proprietary methodologies developed during the engagement.
  • Third-party libraries, frameworks, and tools remain subject to their respective licenses.

5. CONFIDENTIALITY

Both parties agree to maintain the confidentiality of all proprietary information shared during the course of the engagement. This obligation survives the termination of the service agreement for a period of 3 years.

6. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, VirexiumSystems shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our services. Our total aggregate liability shall not exceed the total fees paid by the client for the specific service giving rise to the claim.

7. WARRANTY

VirexiumSystems warrants that all services will be performed in a professional and workmanlike manner consistent with industry standards. We provide a 30-day warranty on delivered work to address defects in functionality. This warranty does not cover issues arising from client modifications, third-party integrations, or environmental factors beyond our control.

8. TERMINATION

Either party may terminate a service agreement with 30 days' written notice. In the event of termination, the client shall pay for all work completed up to the date of termination. All deliverables completed and paid for shall be transferred to the client.

9. GOVERNING LAW

These Terms of Service shall be governed by and construed in accordance with the laws of Denmark. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts of Copenhagen, Denmark.

10. MODIFICATIONS

VirexiumSystems reserves the right to modify these Terms of Service at any time. Material changes will be communicated to active clients via email. Continued use of our services following notification of changes constitutes acceptance of the modified terms.
